Description of Services

Our principal services include the sourcing, consolidation, inspection, warehousing and export of merchandise. The range of services is described on our services page and may include the following areas of activity.

  • Sichuan tea and foodstuff distribution. Gathering teas, preserved goods, condiments and food products from regional workshops for delivery to buyers.
  • Textiles and garments trading. Trading fabrics, shawls, woven goods and ready-made garments, connected to the weaving heritage of Sichuan.
  • General merchandise sourcing. Locating makers, negotiating prices, confirming samples and consolidating mixed orders into one shipment.
  • Warehousing and order fulfillment. Receiving, storing, picking, packing and dispatching goods from our consolidation warehouse.
  • Supplier quality inspection. Checking products against agreed specifications and confirming quality before dispatch.
  • Import and export coordination. Managing documentation, customs clearance and freight cooperation for cross-border delivery.

Each engagement is scoped separately, and a written agreement will describe the exact services, volumes and responsibilities for any given order. Nothing on this website is a binding offer to supply goods until a quotation is accepted in writing.

Orders and Quotations

When you request a quotation, we will prepare a written price list and specification based on the information you provide. A quotation is an invitation for you to place an order and is not a binding commitment by either party until both sides confirm the order in writing.

An order is formed only when you communicate your acceptance of our quotation and we acknowledge that acceptance. Our acknowledgement may take the form of an order confirmation, a proforma invoice, or a written contract signed by both parties.

You agree to provide accurate and complete information for every order, including product names, quantities, specifications, delivery addresses and any regulatory requirements that apply to the destination of the goods. Any change to an order must be agreed in writing, and changes may affect price or delivery timing.

Pricing and Payment

Prices for goods and services are stated in our quotations and are exclusive of taxes, duties, freight and insurance unless expressly noted otherwise. You are responsible for all charges arising from the delivery destination, including customs duties and import taxes.

Payment terms are set out in the order confirmation or in our agreement. Unless a credit facility has been agreed in writing, payment is required before we release goods, secure freight or begin consolidated dispatch. We reserve the right to withhold dispatch until all sums due are received.

If a payment is not received by the due date, we may charge reasonable interest and suspend further work on the order until the account is brought up to date. Any currency conversion or bank charges associated with payment are for the account of the buyer unless agreed otherwise.

Samples and Specifications

For most product ranges we are pleased to provide samples so that you can verify quality, color, weight and finish before committing to a full order. A sample charge may apply, and sample freight is usually for the account of the buyer.

The specification that governs a production order is recorded in the order confirmation. Where a written specification exists, goods will be produced and inspected against that specification. A pre-production sample that is approved by the buyer in writing establishes the standard for a production run.

We are not responsible for variations that result from natural materials shipping in ways that are subject to normal tolerance, such as slight differences in dye lot or handwoven texture. Where a tolerance is important to you, please agree it clearly in the order documentation.

Shipping and Delivery

Delivery dates given at the time of an order are estimates made in good faith and are not guarantees of a specific arrival day. Delays can occur beyond our reasonable control, including customs holds, weather, port congestion and carrier schedules.

Unless otherwise agreed, the buyer is responsible for arranging and paying for freight, insurance, customs clearance and delivery to the final destination. We can coordinate carriage on your behalf as a convenience, but we act as an agent in that arrangement and are not the carrier.

Risk of loss or damage to the goods passes to the buyer at the point agreed in the sales terms, such as the incoterm selected for the order. We will provide the packing and documentation needed for shipment and will inform you if any discrepancy arises during loading.

Inspection and Acceptance

We encourage buyers to inspect goods or to appoint an inspection service before dispatch. Our supplier quality inspection service exists for exactly this purpose, and we will work with an agreed checklist of quality, quantity and packaging criteria.

Where you intend to rely on inspection, the timing and scope of the inspection must be agreed in advance and recorded in writing. We will give reasonable cooperation to an independent inspector you appoint, within the working hours and safety rules of our warehouse.

Once goods have been dispatched and received by the carrier, we are deemed to have delivered them in accordance with the contract, subject to any documented defect that was not apparent at loading and is reported in line with the returns section of these terms.

Returns and Refunds

Because our goods are sourced and consolidated to order, returns are accepted only in limited circumstances. You may reject a shipment or request a refund or replacement under the following conditions.

  • The goods are damaged in transit and the damage is reported within the period agreed in the order documentation, with photographic evidence provided.
  • The goods do not match an approved written specification in a material way.
  • The goods were the subject of a genuine packing or labelling error on our part.

Any claim must be submitted promptly after receipt, and in no case later than the period stated in the order confirmation. Claims made after that period may not be accepted. A refund or replacement will be offered only after we have verified the claim, and any inspection or testing needed to confirm the issue is a reasonable part of that process.

Goods that have been altered, damaged by the buyer, or used before inspection are not eligible for return. Return freight for an accepted claim is normally borne by us, while freight for a rejected claim is borne by the buyer.

Warranties and Disclaimers

We warrant that, to the best of our knowledge, the goods we supply are of the quality described in the applicable specification and are suitable for their normal commercial purpose. This warranty is limited to the scope of the goods inspected and confirmed under the order.

To the full extent permitted by law, the website and its content are provided on an as is and as available basis, without any warranty that the site will be uninterrupted, error free or free of harmful components. We disclaim implied warranties of merchantability and fitness for a particular purpose to the extent allowed by law.

Nothing in these terms affects the rights you have under applicable law that cannot be lawfully limited or excluded. Where a mandatory statutory warranty exists, we honor it and these terms do not intend to remove it.

Limitation of Liability

To the maximum extent permitted by law, Chengdu Qianluochang Trading Co., Ltd. and its officers, staff and representatives will not be liable for any indirect, incidental, special, punitive or consequential loss, including lost profits, lost sales, loss of data or loss of goodwill, arising out of your use of the website or the services.

Where we are found liable for a claim arising under these terms, our total liability for any single order will not exceed the amount you actually paid to us for that order, unless a different limit is agreed in a written contract. This cap does not apply where liability is for personal injury caused by our negligence and cannot lawfully be limited.

We are not liable for failures caused by events beyond our reasonable control, including strikes, natural disasters, government action, war, customs holds, carrier defaults or a failure of public networks. Where such an event occurs, we will notify you and take reasonable steps to resume service.

Intellectual Property

The design, text, imagery, trade names, logos and all other content on this website are the property of Chengdu Qianluochang Trading Co., Ltd. or its licensors and are protected by intellectual property laws. Nothing in these terms grants you a right or licence to use that content except for personal, non commercial reading of the site.

You may view and share brief portions of the site for the purpose of referring others to us, provided you do not alter the meaning, do not present it as your own, and you include a clear link to this website. You may not republish substantial or wholesale copies of the site without our prior written permission.

Any trademarks, service marks and trade names appearing on the site remain the property of their respective owners. Unauthorized use of our name, seal, or brand imagery is not permitted.

Confidentiality

During the course of a trade relationship we may share and receive business information that is not generally known to the public, including pricing, supplier names, customer requirements, product formulations and shipment plans. Both sides agree to treat such information as confidential.

Neither party will disclose confidential information to third parties except where needed to perform the services, where required by law, or with the prior written consent of the other party. This duty survives the end of the relationship for a reasonable period.

Information that is already public, independently developed, or lawfully received from another source is not subject to this confidentiality duty. The standard of care for protected information is the same care each party applies to its own similar business secrets.

Governing Law and Disputes

These terms are governed by the laws of the jurisdiction in which our company is registered in Chengdu, along with any applicable international rules agreed by the parties, to the extent permitted by law. The place of our registered office is the agreed place of performance for administrative purposes.

Before any dispute is brought to court, the parties will attempt in good faith to resolve it through direct negotiation. If negotiation does not resolve the matter within a reasonable period, either party may pursue the remedies available under law.

We reserve the right to amend these terms from time to time. The revised terms will be posted on this page with an updated effective date, and your continued use of the site or services after a revision constitutes acceptance of the revised terms.

General Provisions

If any provision of these terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent needed to make it valid, and the remaining provisions will continue in full force and effect.

Our failure to enforce a provision on one occasion does not waive our right to enforce it on another occasion. A waiver must be set out in writing signed by the waiving party to be effective.

These terms, together with any order confirmation or written agreement, constitute the entire agreement between us in relation to the subject matter and supersede any prior discussions, statements or drafts.
